Effective date: Upon first use of WealthSync AI

By accessing or using WealthSync AI ("WSAI"), you agree to these Terms. If you do not agree, do not use the product.

1. License and usage

You are granted a non-transferable, non-exclusive, revocable license to use WealthSync AI for personal finance tracking and analysis only. You may not sublicense, resell, or distribute the software or its components.

2. Ownership and intellectual property

WSAI is the proprietary creation of Wealth Journey Collective LLC. All code, templates, designs, documentation, branding, and AI-driven logic are the exclusive intellectual property of Wealth Journey Collective LLC. You may not copy, replicate, reproduce, distribute, or reverse-engineer any part of the WSAI system for personal or commercial purposes.

Any attempt to clone, duplicate, modify, or white-label this software without written permission violates U.S. intellectual property law and will result in license termination and possible legal action.

3. Your data and privacy

How we collect, store, and protect your data is described in full in our Privacy Policy. In short:

- WealthSync AI stores your financial data in a secure, encrypted cloud database in the United States, which is the official copy that powers the app. Your Google Sheet stays connected as a view and edit surface you control.

- We do not sell your data and we do not access it except to provide the service.

- You can export all of your data and permanently delete your account and its financial data at any time (see Section 11).

- Connecting a bank (Plaid) or brokerage (SnapTrade) is read-only: WSAI can read your transactions, balances, and holdings, but cannot move money or place trades.

Several WealthSync AI features use OpenAI to generate summaries, insights, and responses. When you use them, the financial context each feature needs is sent to OpenAI. In the mobile app, activating Milo sends account balances, recent transactions, spending totals, debt balances, and investment holdings to OpenAI to generate Milo's responses. In the Google Sheets add-on, the WealthSync AI assistant, the AI Summary, the DebtSync insight, and the Wealth Momentum insight send the financial data each one analyzes to OpenAI. The AI Summary in the add-on runs automatically after a bank sync. If you do not use these AI features, your financial data is not sent to OpenAI. See the Privacy Policy for the specific data each feature sends.

4. User responsibilities

- Use the software only for its intended purpose.

- Do not attempt to bypass licensing or remove security logic.

- Do not share your license, dashboard, or download links with others.

- Maintain an active license to keep access to premium features.

- Keep your account credentials secure; you are responsible for activity under your account.

- You acknowledge that WSAI validates your license on use and keeps usage logs (such as the time and outcome of license checks) to detect and prevent misuse. These logs are described in our Privacy Policy.

WSAI is a coaching and insight tool, not a replacement for certified financial advice. It provides educational insights, not official financial, legal, or tax recommendations.

5. License violations and termination

You must not share your license or dashboard, copy or distribute WSAI, remove or tamper with licensing, tracking, or security, or otherwise breach these Terms. WSAI includes protections, including usage logs and remote license validation, to detect and protect against misuse. For a first violation, we will notify you by email and give you 5 business days to cure it before we terminate access; access terminated for an uncured violation is without refund. We may terminate access immediately, without a cure period and without refund, for repeated violations, violations involving unauthorized distribution of WSAI, or violations posing an immediate security risk.

6. Limitation of liability

WSAI is provided "as is" without warranties of any kind. To the fullest extent permitted by law, Wealth Journey Collective LLC, its members, and affiliates are not liable for decisions made based on WSAI insights, for data loss caused by third-party services or your own edits, or for any financial outcomes resulting from your use of WSAI.

To the fullest extent permitted by law, our total liability for any claim arising from or relating to WSAI will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) $100. Nothing in these Terms limits liability that cannot be limited under applicable law. Notwithstanding the above, this limitation does not apply to liability arising from our gross negligence, willful misconduct, or fraud, or to any liability that cannot be limited under applicable law.

7. Third-party integrations

WealthSync AI relies on the following third-party services, each governed by its own terms and privacy policy. By using the related feature, you also agree to that provider's terms.

- Plaid — connects checking, savings, debt, and investment accounts. By linking an account you agree to Plaid's End User Privacy Policy at plaid.com/legal.

- SnapTrade — connects brokerage accounts for the SyncFolio feature. Your brokerage credentials are handled entirely by SnapTrade; WSAI receives only your holdings data.

- Supabase — hosts the database, sign-in, and encrypted secrets vault that store and serve your data.

- Cloudflare — runs the application backend and protects and speeds up the service.

- Resend — sends account and notification emails.

- Sentry — collects diagnostic and crash data (financial fields scrubbed before transmission) so we can fix bugs.

- Google — provides Google sign-in and the connected Google Sheet view.

- Apple — provides Apple sign-in and iOS push notification delivery (APNs).

- OpenAI — powers our AI features in both the mobile app and the Google Sheets add-on. In the mobile app it generates Milo's summaries and chat responses. In the add-on it generates the WealthSync AI assistant's replies, the AI Summary, and the DebtSync and Wealth Momentum insights. Each of these sends the financial context it needs to OpenAI. Your data is not used to train OpenAI's models.

- Railway — hosts the Milo AI assistant service (chat history, device push tokens, and the financial context needed to generate a response: account balances, recent transactions, spending category totals, debt balances, and investment holdings).

- Milo — an AI financial companion delivered natively in the WSAI mobile app (iOS and Android). Activating Milo sends your financial context to our Milo service and to OpenAI to generate responses. You may deactivate Milo at any time in Settings → Milo → Disable.

- SamCart and Stripe — process checkout, payments, and subscriptions.

8. Payments, subscriptions, and refunds

Checkout is handled by SamCart, with Stripe as the underlying card processor. WealthSync AI does not receive or store your full card number.

One-time purchases (WealthSync AI - See Exactly Where Your Money Goes, MoneyFinder, Full Stack Essentials, Full Stack Mini, and Camcorder Mode): All sales are final. These are digital products delivered immediately upon purchase.

Milo subscription ($1 first month, then $19/month): You may cancel at any time. Cancellation stops all future charges immediately. Your Milo access remains active through the end of your current paid period. Because Milo begins at $1 and converts to the standard monthly rate, we offer a 3-day refund window on the first full $19 charge only. To request it, email reggie@officialwealthsyncai.com with the subject "Milo Refund Request" within 3 days of that charge. After that window, prior charges are non-refundable.

Promotional pricing or trials: Refund terms specific to any promotion are disclosed at the time of that offer.

Your data is not deleted on cancellation. It is deleted only when you delete your account (see Section 11).

9. Updates and modifications

We may update these Terms at any time. For material changes, including changes to pricing, data use, arbitration, or your legal rights, we will notify you by email at least 14 days before the change takes effect and require your acknowledgment before continued use. For minor changes such as formatting, grammar, or clarifying language, the "Last updated" date will reflect the revision and continued use constitutes acceptance.

10. Disclaimer of warranties

WealthSync AI is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the service will be uninterrupted or error-free, or that any particular financial outcome will result from its use. WSAI is an educational and organizational tool, not a substitute for certified financial, legal, or tax advice.

11. Account deletion and data rights

You may permanently delete your account at any time in Settings → Delete Account, or by emailing us with the subject "Delete my account." Deletion immediately and permanently removes your financial data and connection tokens from our systems and anonymizes your account record, as detailed in the Privacy Policy. You may also request a portable export of your data at any time. These rights are available to all users, including rights provided under the CCPA/CPRA, GDPR, and UK GDPR.

12. Dispute resolution and arbitration

Before filing for arbitration, the claiming party must send a written Notice of Dispute to reggie@officialwealthsyncai.com with the subject line "Notice of Dispute," describing the claim and the relief sought. The other party has 30 days from receipt to attempt resolution. If the dispute is not resolved within 30 days of the notice, either party may initiate binding arbitration under the Consumer Arbitration Rules of the American Arbitration Association, conducted in English in the State of Nevada. You waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, this class action waiver may not apply to you if you are a California resident and a court determines it is unenforceable under California law. Nothing in this section waives any right to public injunctive relief where that right cannot be waived by law. Either party may still seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

30-day opt-out: You may opt out of this arbitration agreement by emailing reggie@officialwealthsyncai.com with the subject "Arbitration opt-out" within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.

13. Apple App Store (iOS)

If you use WealthSync AI on an Apple device, you acknowledge:

- These Terms are between you and Wealth Journey Collective LLC, not Apple. Apple is not responsible for WSAI or its content.

- Apple has no obligation to provide maintenance or support for WSAI.

- To the maximum extent permitted by law, Apple has no warranty obligation for WSAI, and any warranty claims will be our responsibility, not Apple's.

- Apple is not responsible for addressing any claims you have relating to WSAI, including product-liability, legal/regulatory, or intellectual-property claims.

- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

- You represent that you are not located in a U.S.-embargoed country or on a U.S. prohibited-parties list.

14. Governing law

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-law provisions. Notwithstanding this choice of law, nothing in these Terms limits any rights you may have under the mandatory consumer protection laws of your jurisdiction that cannot be waived by contract.

16. Acceptance of terms

By checking the box, launching the dashboard, or continuing to use WealthSync AI, you agree to these Terms in full and acknowledge our Privacy Policy.
